If you do not agree to all the terms and conditions of this agreement, you must not access the website or use our services. These Terms constitute a legally binding agreement between you and Shenzhenshikangpuhuanbaokejiyouxiangongsi ("Bioplasticomp", "we", "us", or "our").

3. Products and Services

Bioplasticomp manufactures and distributes compostable bioplastic products including food storage containers, deli containers, glass storage sets, refrigerator organizers, and related packaging solutions. We offer both retail and wholesale (B2B) channels.

Product specifications, certifications (FDA, EN 13432, ASTM D6400, BPI, FSC), and compliance details are listed on our product pages. We reserve the right to:

  • Modify, discontinue, or limit availability of any product without notice
  • Refuse orders that appear fraudulent, violate these Terms, or are intended for resale in violation of our distribution policies
  • Limit quantities purchased per person, household, or order

4. Pricing and Payment

Pricing: All prices are listed in US Dollars (USD) by default unless otherwise specified. Prices are subject to change without notice. For wholesale and OEM/ODM orders, pricing is provided via formal quotation.

Taxes: Prices displayed on the website generally do not include import duties, VAT, GST, customs fees, or other taxes applicable in your jurisdiction. These charges are the buyer's responsibility unless explicitly stated otherwise in a written quote.

Payment Methods: We accept major credit cards (Visa, MasterCard, American Express), PayPal, bank wire transfer (for wholesale orders), and other methods as listed at checkout. Payment is due at the time of order unless credit terms have been pre-approved in writing.

Currency Conversion: Your bank or payment provider may apply currency conversion fees and exchange rates, which are outside our control.

5. Orders and Acceptance

Your order constitutes an offer to purchase our products. All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

  • Product unavailability or discontinuation
  • Pricing or product listing errors
  • Suspected fraudulent or unauthorized activity
  • Inability to verify shipping address or payment information
  • Orders that violate our minimum order quantity (MOQ) requirements for wholesale pricing

If we cancel an order after payment has been processed, we will issue a full refund within 10 business days.

6. Shipping and Delivery

Detailed shipping policies, processing times, freight terms (FOB, CIF, DDP), and delivery estimates are described in our Shipping & Returns page, which is incorporated into these Terms by reference. Risk of loss and title for items purchased pass to you upon delivery to the carrier.

7. Returns and Refunds

Our return policy is described in detail on the Shipping & Returns page. By placing an order, you agree to the terms of that policy. For hygiene and food-safety reasons, opened or used food-contact products are generally not eligible for return unless defective.

8. Custom and OEM/ODM Orders

For custom branding, sizing, or OEM/ODM requests:

  • A formal written quotation is required before production begins
  • A deposit (typically 30-50%) is required to initiate production
  • Custom orders are non-refundable once production has started, except for verified quality defects
  • Production lead times are estimates only and may vary based on order complexity and factory capacity
  • Customer-supplied artwork must comply with applicable trademark and copyright laws

9. Intellectual Property

All content on this website—including but not limited to text, graphics, logos, images, product designs, trademarks, and software—is the property of Bioplasticomp or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, or transmit any material from our website without our prior written consent, except for personal, non-commercial use (e.g., printing a quote or order confirmation).

10. User Conduct

When using our website or services, you agree NOT to:

  • Use the site for any unlawful purpose or in violation of any applicable laws
  • Submit false, misleading, or fraudulent information
  • Impersonate any person or entity or falsely claim affiliation
  • Interfere with or disrupt the site, its servers, or connected networks

Bioplasticomp does not warrant that the website will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the site or servers are free of viruses or harmful components.

Product specifications, certifications, and compostability claims are based on standardized laboratory testing. Real-world decomposition rates vary depending on composting conditions, microbial activity, temperature, humidity, and material thickness. We do not guarantee specific decomposition timelines in non-commercial composting environments.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIOPLASTICOMP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the website or services
  • Any conduct or content of any third party on the website
  • Any content obtained from the website
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total aggregate liability for any claim arising from or related to these Terms or your use of the services exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) USD $100.

You agree to defend, indemnify, and hold harmless Bioplasticomp and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the website or services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that your content caused damage to a third party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, controversy, or claim arising out of or relating to these Terms—including the breach, termination, or validity thereof—shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shenzhen, in accordance with its then-effective arbitration rules. The arbitration award shall be final and binding on both parties.

Notwithstanding the above, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Shipping & Returns policy, constitute the entire agreement between you and Bioplasticomp regarding your use of our website and services, and supersede any prior or contemporaneous communications and proposals on the same subject matter.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website with an updated "Last updated" date. For material changes, we will provide reasonable notice via email (if you have an account or have transacted with us) or through a prominent notice on our website. Your continued use of our services after such changes constitutes acceptance of the revised Terms.
